DEREGISTRATION OF SECURITIES
CalAmp Corp., a Delaware corporation (the Company), is filing this post-effective amendment (the Post-Effective Amendment) to the Companys Registration Statement on Form S-3 (No. 333-270720), filed with the Securities and Exchange Commission (the SEC) on March 21, 2023, relating to the Companys Preliminary Prospectus (the Registration Statement), to deregister any and all securities of the Company registered but unsold or otherwise unissued under the Registration Statement as of the date hereof.
As disclosed in the Companys Current Report on Form 8-K filed with the SEC on June 3, 2024, the Company and certain of its subsidiaries filed a voluntary petition in the United States Bankruptcy Court for the District of Delaware for relief under chapter 11 of title 11 of the United States Code with a prepackaged chapter 11 plan. In connection therewith, on June 3, 2024, The Nasdaq Stock Market LLC (Nasdaq) determined to delist the Companys Common Stock and to suspend trading thereof on June 12, 2024.
On June 28, 2024, Nasdaq filed a Notification of Removal From Listing and/or Registration on Form 25 with the SEC to delist the Common Stock from Nasdaq and to deregister the Common Stock under Section 12(b) of the Securities Exchange Act of 1934, as amended (the Exchange Act). The Company intends to file a Certification and Notice of Termination of Registration on Form 15 with the SEC providing notice of the termination of registration of the Common Stock under Section 12(g) of the Exchange Act.
As a result of the determination to delist and deregister the Companys Common Stock, the Company has terminated all offerings of its securities pursuant to the Registration Statement. In accordance with an undertaking made by the Company in the Registration Statement to remove from registration, by means of this Post-Effective Amendment, any securities that had been registered but remain unsold at the termination of the offering, the Company hereby amends the Registration Statement to remove from registration all securities, as applicable, registered under the Registration Statement that remain unsold as of the date of this Post-Effective Amendment.
