Each restricted stock unit represents a contingent right to receive one share of Common Stock of AMAG Pharmaceuticals, Inc. (the "Issuer"). These shares of Common Stock are issuable pursuant to a grant of restricted stock units pursuant to the Issuer's 2019 Equity Incentive Plan (the "Plan") that will vest in twelve equal monthly installments over one year beginning on the first day of the first full month following the Issuer's 2020 annual meeting of stockholders; however, delivery of the shares is deferred until the earlier of (a) one year from the date of grant and (b) the date of the director's separation from service to theIssuer.

his/her true and lawful attorney-in-fact to:

undersigned's capacity as an officer and/or director of
AMAG Pharmaceuticals,Inc. (the "Company"), Forms 3, 4 and 5
(including any amendments thereto) in accordance with Section
16(a)of the Securities Exchange Act of 1934,
as amended and the rulesthereunder;

(2) do and perform any and all acts for and on behalf of the
undersigned  which may be necessary or desirable to complete
the execution of any such Forms 3, 4 and 5 and the timely filing
of such forms with the United States Securities and Exchange
