This sale was effected pursuant to a Rule 10b5-1 trading plan adopted by the reporting person. This sale was made to cover tax withholding obligations in connection with the vesting and settlement of approximately 25% of the reporting person's restricted stock units granted on March 16, 2015.

The price reported is a weighted average price. These shares were sold in multiple transactions at prices ranging from $16.47 to $17.41, inclusive. The reporting person undertakes to provide to the issuer, any security holder of the issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in this footnote.

as an officer and/or director of IRONWOOD PHARMACEUTICALS, INC. (the "Company"),
Uniform Application for Access Codes to file on EDGAR or Form ID, Forms 3, 4 and
5 in accordance with Section 16(a) of the Securities Exchange Act of 1934, as
amended (the "Act"), and the rules thereunder;
