On July 26, 2022, at the 2022 Annual Meeting of Stockholders, the Company’s stockholders approved, for purposes of complying with Nasdaq Listing Rule 5635(c), the issuance of shares of Common Stock to the Company’s Chief Executive Officer, David Michery, pursuant to the Performance Stock Award Agreement.
